AliveSim Terms of Use (for End Users)

Welcome to AliveSim^TM (https://alivesim.com), an interactive web application operated by Syandus, Inc. (Syandus).

You have been granted access to one or more AliveSim modules by one of our customers (your employer, school, or another organization). While this document uses plain language to enhance readability, it is a legally binding agreement.

1. Accepting these Terms

By accessing and using these AliveSim modules and related services (collectively referred to as AliveSim or the Services), you (the User):

• Confirm that you are at least 18 years old
• Acknowledge that you have read and understood these Terms of Use (Terms)
• Agree to be bound by these Terms and the AliveSim Privacy Policy

Your continued use of AliveSim indicates your ongoing acceptance of these Terms.

2. Privacy and Data Protection

We care about your privacy. When you use AliveSim, we collect and use your information as described in our Privacy Policy. We have data protection and privacy measures in place to safeguard your information, including compliance with the General Data Protection Regulation (GDPR) for users in the European Union and the California Consumer Privacy Act (CCPA) for California residents.

Our privacy practices are designed to meet or exceed the requirements of these and other applicable data protection laws. We're committed to protecting your personal information and respecting your privacy rights, regardless of where you're located.

3. Understanding Your Relationship with Us and Content Ownership

You're accessing AliveSim through an organization, like your employer, school, or another group. We'll call them the "Content Provider". Here's how it works:

• The Content Provider creates and owns the content you see in AliveSim.
• Syandus (that's us) provides the AliveSim platform that hosts and delivers this content.
• The Content Provider gives you permission to access their content through our AliveSim platform.

When you use AliveSim, you're interacting with content created by the Content Provider, delivered through our technology. You need to follow both these Terms of Use, and any additional rules set by the Content Provider.

4. Accessing and Using AliveSim

Your access to AliveSim is provided through one of our customers (such as your employer, school, or another organization). Access methods may be through a direct AliveSim login, a learning management system (LMS), or another single sign on (SSO).

Your Access Credentials

You agree to:

• Use only your own access credentials. Sharing access is strictly prohibited.
• Keep your access credentials confidential and secure
• Report any suspected unauthorized use to us (see our contact email below).

Things You Shouldn't Do

You agree not to:

• Modify, reverse engineer, decompile, or attempt to derive the source code of AliveSim
• Create derivative works based on AliveSim or any part thereof
• Engage in any activity that disrupts or interferes with AliveSim's software, data, or normal operation
• Attempt to gain unauthorized access to any part of AliveSim or its related systems or networks
• Use AliveSim for any illegal or unauthorized purpose, or engage in any activity that violates applicable laws or regulations
• Use any automated means or interface not provided by us to access AliveSim or to extract data
• Infringe upon or violate the intellectual property rights or any other rights of others

5. Intellectual Property

AliveSim, including its design, features, and software, belongs to Syandus. This means you can't copy, modify, or redistribute any part of the AliveSim platform without our permission.

The content you see and interact with in AliveSim modules is created and provided by the Content Provider (which, as explained earlier, may be your employer, school, or another organization). The Content Provider either owns or has the right to use this content. You must respect the intellectual property rights associated with this content by not copying, sharing, or using it outside of AliveSim without proper authorization from the Content Provider.

6. Links to Other Websites

AliveSim might have links to other websites. We're not responsible for what's on those sites or what happens if you use them. Be careful and check their terms and privacy policies before using them.

7. Limitation of Liability

To the extent permitted by law, Syandus will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• your use or inability to use AliveSim;
• any unauthorized access to or use of our servers and/or any personal information stored therein;
• any interruption or cessation of transmission to or from AliveSim;
• any bugs, viruses, trojan horses, or the like that may be transmitted to or through AliveSim by any third party;
• any actions, decisions, or content provided by the organization granting you access to AliveSim.

Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages, so some of the above limitations may not apply to you. In such cases, Syandus' liability will be limited to the fullest extent permitted by applicable law.

8. "AS IS" and "AS AVAILABLE" Disclaimer

AliveSim is provided to you "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, Syandus expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to AliveSim, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

Without limitation to the foregoing, Syandus provides no warranty or undertaking, and makes no representation of any kind that AliveSim will meet your requirements, achieve any intended results, be compatible or work with any other software, applications, systems or services, operate without interruption, meet any performance or reliability standards or be error free or that any errors or defects can or will be corrected.

Syandus specifically disclaims all liability and responsibility for any content, information, or materials provided or made available through AliveSim by the organization granting you access (the Content Provider), how that organization manages or controls access to AliveSim, and any unauthorized access resulting from actions or omissions of that organization. Your use of AliveSim is at your own risk.

9. Content Provider's Rights

The Content Provider can enforce these Terms of Use just like we can. In legal terms, they're what's called a "third-party beneficiary". This means if you break these rules, the Content Provider might take action, not just us.

10. Governing Law

These Terms of Use and your use of AliveSim shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws principles. Your use of AliveSim may also be subject to other local, state, national, or international laws.

11. For European Union (EU) Users

If you live in the EU, you might have additional rights under your country's laws.

12. United States Legal Compliance

You confirm that you're not in a country under U.S. embargo or on any U.S. government list of restricted parties.

13. Legal Provisions

If any part of these Terms is found to be invalid or unenforceable, the remaining parts will stay in effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. In the event of a conflict between the English version of these Terms and any translation, the English version will prevail.

14. Changes to These Terms

We might change these Terms sometimes. If we make big changes, we'll try to let you know 30 days before they start. If you keep using AliveSim after the changes, it means you agree to the new Terms.
